SAP AG (NYSE: SAP) and SuccessFactors, Inc. (NYSE: SFSF) today announced that SAP’s subsidiary, SAP America., Inc., has entered into a definitive merger agreement with SuccessFactors, the market-leading provider of cloud-based human capital management (HCM) solutions, pursuant to which a subsidiary of SAP would offer to acquire all outstanding shares of common stock of SuccessFactors for $40.00/per share in cash, representing an enterprise value of approximately $3.4 billion. The acquisition will add SuccessFactors’ widely respected team and technology to SAP’s powerful cloud assets, significantly accelerating SAP’s momentum as a provider of cloud applications, platforms and infrastructure.  The combination of SAP and SuccessFactors will establish an advanced end-to-end offering of cloud and on-premise solutions for managing all relevant business processes.

The SuccessFactors board of directors has unanimously approved the transaction. The per share purchase price represents a 52% premium both over the December 2nd closing price and the one month volume weighted average price per share. The transaction will be funded from SAP’s cash on hand and a €1 billion term loan facility.  The closing of the tender offer is conditioned on SuccessFactors stockholders tendering at least a majority of the outstanding shares of SuccessFactors common stock (on a fully diluted basis) and clearances by relevant regulatory authorities. The transaction is expected to close in the first quarter of 2012 and be slightly dilutive to SAP’s Non-IFRS earnings per share in 2012 and accretive in subsequent years.

The acquisition marks another stride in SAP’s strategy of delivering solutions on premise, in the cloud and on mobile devices.  It builds on a series of strategic moves in SAP’s targeted growth areas to drive innovation in its core applications and analytics; introduce breakthrough in memory technology; establish leadership in enterprise mobility; and grow its cloud portfolio. SuccessFactors’ solutions are highly complementary to SAP’s core HCM offerings as well as SAP’s strong cloud assets: SAP Business ByDesign for the suite cloud market and SAP’s line of business cloud offerings for large enterprises such as SAP Sales on Demand.

Results for the First Quarter Fiscal 2011:

  • Q1 FY11 Non-GAAP Revenue: For the quarter ended March 31, 2011, non-GAAP revenue was $68.0 million, compared to the company’s prior guidance of $62.5 million to $63.5 million, and compared to $44.7 million in the quarter ended March 31, 2010, an increase of approximately 52 percent year-over-year and an increase of 10 percent sequentially from Q410.
  • Q1 FY11 Non-GAAP Operating Income: For the quarter ended March 31, 2011, the Company recognized non-GAAP operating income of $0.5 million and GAAP operating income from operations of $0.8 million. For the first quarter of 2011, GAAP net income per common share calculation assumed a weighted average share count of approximately 77.5 million for basic and 83.0 million for diluted. For the fourth quarter of 2010, GAAP net loss per common share calculation assumed a weighted average share count of approximately 76.4 million. For the first quarter of 2010, GAAP net loss per common share calculation assumed average weighted share count of approximately 72.0 million.

Plateau Systems Ltd. Acquisition:

Today, SuccessFactors announced it has entered into a definitive agreement to acquire Plateau Systems Ltd. the leading learning management system (LMS), a Next Generation Portal technology, and CaaS- Content as a Service. This acquisition forms a symbiotic combination with SuccessFactors’ acquisition of social video mobile learning provider Jambok.

Customers will now have the ability to further increase employee development and business execution by implementing a comprehensive social and traditional learning strategy that includes evangelizing internal experts, utilizing easy-to-use video creation and sharing tools, as well as managing, developing, and deploying online, instructor-led, and self-study training.

Under the terms of the acquisition agreement, SuccessFactors will pay $145 million in cash plus $145 million in stock, of which $15 million is for employee stock options and RSUs, for Plateau Systems Ltd.. The acquisition is subject to various closing conditions, including filings under the Hart-Scott-Rodino Antitrust Improvements Act and the issuance of a permit from the California Department of Corporations, and is currently expected to close during summer 2011.

Guidance:

SuccessFactors is initiating guidance for its second quarter fiscal 2011 and updating its outlook for the full fiscal year 2011, as of April 26, 2011. 

  • Q2 FY11: Non-GAAP revenue for the company’s second fiscal quarter is projected to be in the range of approximately $69.0 million to $70.0 million. Note that non-GAAP revenue includes the effect of deferred revenue from acquired companies that is required to be written down for GAAP purposes under purchase accounting rules. Non-GAAP net income per common share, basic and diluted, is expected to be breakeven. This guidance does not take into account the proposed acquisition of Plateau Systems Ltd.   • Full Year 2011: Non-GAAP revenue for the company’s full fiscal 2011 is now expected to be in the approximate range of $275 million to $280 million, which is an increase of approximately 30 percent when compared to fiscal 2010. The company expects non-GAAP net income per common share for fiscal 2011 to be approximately breakeven. This guidance does not take into account the proposed acquisition of Plateau Systems Ltd. SumTotal Systems’ Customers Lead the Pack in Learning Program Satisfaction, According to Aberdeen — Seventy-Five Percent of Surveyed SumTotal Customers Satisfied with Learning Program, Compared to Best-in-Class Average of 65 Percent

SumTotal Systems, Inc. (NASDAQ: SUMT), the market leader and global provider of talent development solutions, received the highest customer satisfaction ratings of any Learning Management System (LMS) vendor in a research study published by independent research firm Aberdeen Group, The Rise of Learning Management Systems in Talent Management. The report highlights SumTotal as the top LMS vendor with 75 percent of its surveyed customers citing satisfaction with their company’s learning program, beating out Plateau, Saba, SkillSoft and other industry vendors.

 

In August and September 2008, Aberdeen surveyed 718 HR, talent management, IT and line of business executives regarding learning and development at their respective organizations. Among the survey respondents were representative samples from customers of four leading LMS vendors: Plateau, Saba, SkillSoft and SumTotal. Seventy-five percent of SumTotal customers reported they were satisfied with their learning program, beating out the other big three firms named in the survey, while only 41 percent of customers who did not use any of these four vendors reported satisfaction with their learning programs.
